These Terms are published in English. If a Norwegian translation is later made available and there is a conflict between versions, the English version controls unless mandatory law requires otherwise.

1. Provider

These Terms & Conditions are issued by:

In these Terms, "BOtag", "we", "us", or "our" means BOtag Norge AS.

2. Acceptance

These Terms apply to the company or organisation using BOstages.

By clicking "I accept", creating an account, using BOstages, signing a separate written agreement, or continuing to use BOstages after updated Terms take effect, the Customer accepts these Terms.

The person accepting these Terms confirms that they are authorised to bind the Customer.

BOtag may record acceptance details, including company ID, user ID, user email, timestamp, IP address, accepted document version, acceptance method, selected plan, and confirmation that the accepting user is authorised to bind the Customer.

BOstages is a business-to-business platform and is not intended for consumer use.

BOtag's public websites, product pages, pricing pages, demo-request forms, and other marketing materials are informational and do not by themselves create a paid subscription or other customer agreement.

Visiting a BOtag website, submitting a demo request, or following a link to an enrollment, subscription, or checkout flow does not by itself constitute acceptance of these Terms or create an obligation to purchase the Services.

A subscription or other paid agreement is formed only when the Customer accepts the applicable commercial terms through the relevant BOstages enrollment, checkout, Billing page, order form, account flow, separate written agreement, or another acceptance method expressly approved by BOtag.

3. Agreement documents

The agreement between BOtag and the Customer may include these Terms, a separate written agreement, the Privacy Policy, the Data Processing Agreement, an applicable order form, subscription checkout or Billing-page terms, service descriptions expressly incorporated into the agreement, and any other document accepted or signed by the Parties.

Public marketing pages, general product pages, demonstrations, illustrations, and other promotional materials are informational unless they are expressly incorporated into the Customer's agreement.

If documents forming the agreement conflict, the order of priority is:

  1. a separate written agreement or order form signed or expressly accepted by both Parties;
  2. the Data Processing Agreement, but only for personal-data processing matters;
  3. these Terms;
  4. applicable subscription checkout, Billing-page terms, or service descriptions expressly incorporated into the agreement.

Enterprise customers may agree different terms in a separate written agreement signed by both Parties.

4. Services

BOstages includes BOtag's business-to-business platform and related services, including BOstageA, BOstageB, BOstageR, BOstageG, BOstageX, NanaBO, PIMP, BOimages, APIs, integrations, onboarding, and support.

BOstageB and PIMP support product-data imports, product masters, EAN/barcode sheets, PDFs, order files, validation, mapping, audit logs, and related workflows.

NanaBO is an AI-assisted operational feature of BOstages. NanaBO may help users understand workflows, trigger actions, review validation results, and interact with backend workers.

Full Seasonal Buying Intelligence is a BOstageR decision-support service for seasonal buying workflows. Where included in an applicable plan or purchased separately, one Full Seasonal Buying Intelligence report is a continuing buying engagement for one main Label Brand, one season, and one buying scope, subject to the commercial and entitlement rules in Section 6.

A Full Seasonal Buying Intelligence report may include a Material Quality Assessment, Full Seasonal Buying Recommendation, Supplier Brief, Post Order Buying Review, and Commercial Outcome Estimate as described in Section 6 and the applicable service description. Material Quality Assessment and Supplier Brief are optional within the same entitlement; the other lifecycle deliverables are included where the applicable Full Seasonal Buying Intelligence service is provided.

Some features may be beta, pilot, preview, or experimental. Such features may be changed, limited, suspended, or discontinued at any time and are provided without service-level commitment unless agreed in writing.

BOstages is not a legal, financial, tax, medical, HR, employment, or regulated advisory service.

5. Accounts and customer responsibilities

The Customer is responsible for:

all activity under its accounts;

managing users, roles, permissions, and access removal;

keeping admin, billing, legal, and security contact details updated;

using the Services securely;

ensuring Customer Data is lawful, accurate, and authorised for use;

having rights to upload product data, images, brand assets, files, order data, POS data, and integration data;

reviewing PIMP, NanaBO, AI-assisted, import, mapping, validation, and export outputs before relying on them;

maintaining valid credentials, API keys, and access rights for third-party integrations;

ensuring connected third-party systems may lawfully receive and process Customer Data.

BOtag may rely on instructions, approvals, uploads, configurations, and actions performed through authorised Customer accounts.

6. Fees and payment

Unless otherwise agreed in a separate written agreement:

For BOtag Flow, Buying Intel, and Buying Intel Pro, subscriptions are billed every three months in advance;

those subscriptions renew automatically for successive three-month periods unless terminated before renewal under Section 7;

other BOstages Services may use the billing period stated in the applicable subscription checkout, Billing page, order form, or separate written agreement;

access to paid Services begins after payment has been successfully completed or otherwise approved by BOtag;

fees are exclusive of VAT and other taxes;

fees are non-refundable unless required by law or expressly agreed in writing;

BOtag may issue a receipt, invoice, or payment confirmation after payment;

startup, onboarding, project, integration, import-assistance, or custom-work fees may be charged separately.

Plan-specific commercial terms. Plan-specific prices, included report entitlements, activation report entitlements, report validity periods, usage allowances, and other plan-specific commercial conditions are those stated in the applicable subscription checkout, Billing page, order form, or separate written agreement.

Public pricing pages may summarise current commercial offers but do not override the commercial terms applicable to an existing Customer subscription.

Where BOtag changes pricing, packaging, included entitlements, report allowances, or usage limits for an active subscription, the change will take effect in accordance with the notice and renewal provisions of these Terms unless otherwise agreed.

Full Seasonal Buying Intelligence report entitlements. The following rules apply to Full Seasonal Buying Intelligence unless an applicable separate written agreement expressly states otherwise.

Account scope. Subscription entitlements, activation offers, included report allowances, purchased report entitlements, and report-ledger ownership belong to the applicable BOstageR account rather than to an individual user, store, supplier, or Label Brand. Any Retail Brand enrollment limits are stated in the applicable service description or account configuration.

Active eligible BOtag subscription. An active eligible BOtag subscription means an active paid BOstageR subscription under BOtag Flow, Buying Intel, Buying Intel Pro, or another plan expressly designated by BOtag as eligible for Full Seasonal Buying Intelligence. A free trial, pilot, or other unpaid access does not qualify unless BOtag expressly states otherwise. A subscription scheduled for cancellation remains active until its effective paid-through termination date, provided it is not otherwise suspended. A subscription that has terminated, expired, or is suspended is not active eligible for purposes of starting or continuing Buying Intelligence report work.

One report entitlement. One Full Seasonal Buying Intelligence report entitlement covers one main Label Brand, one season, one buying scope, and the applicable five-deliverable Buying Intelligence lifecycle.

Deliverables. Material Quality Assessment and Supplier Brief are optional within the same entitlement and consume no additional report. Full Seasonal Buying Recommendation, Post Order Buying Review, and Commercial Outcome Estimate are included lifecycle deliverables. A Customer is not required to request either optional deliverable for the report to remain valid.

Included lifecycle progression. After BOstages confirms the final committed order, Post Order Buying Review and then Commercial Outcome Estimate progress as included stages of the same report. They require no second purchase, second report reservation, or new commercial-start confirmation.

Main and complementary Label Brands. Every Full Seasonal Buying Intelligence report has exactly one main Label Brand. One or more complementary Label Brands may be included where supported by the applicable workflow. Complementary Label Brands may influence the portfolio analysis and may receive Complementary Buying Guidelines within the Full Seasonal Buying Recommendation, but they do not receive the main Label Brand's complete report treatment unless they become the main Label Brand of a separate report entitlement.

Analytical focus. Including more complementary Label Brands broadens the analytical scope and may reduce how concentrated or specific the recommendation can be for the main Label Brand. BOtag does not impose an automatic numerical limit unless one is stated in the applicable service description or separate written agreement.

Report continuation. A report is a continuing buying engagement, not an individual AI interaction. Reasonable revisions within the same active lifecycle for the same main Label Brand, season, and buying scope do not consume another report entitlement. Such revisions may include revised budgets, new supplier information, quantity revisions, updated assumptions, the final committed order, Post Order Buying Review, Commercial Outcome Estimate, and other reasonable continuation within the same scope.

New report requirement. A new report entitlement is required for a genuinely new main Label Brand, a different season, or a materially different buying scope requiring its own full report. BOtag determines, acting reasonably, whether requested work is a reasonable continuation of an existing buying scope or constitutes a materially different buying scope.

Valid commercial start. A report becomes genuinely started only after a valid main Label Brand, season, and buying scope are established, BOstages confirms eligible report availability, and the Customer explicitly confirms the commercial start. BOstages then reserves one eligible report entitlement and ties it to that report scope. Placeholder or artificial starts cannot be used to preserve expiring allowance.

BOtag Flow activation allowance. Where the applicable BOtag Flow commercial terms include a one-time activation report allowance, the allowance is granted only if the BOstageR account's first-ever active eligible BOtag subscription is BOtag Flow. It is never granted again on renewal, reactivation, downgrade, return to BOtag Flow, or any later subscription event. Each activation report is valid for 12 months from grant. Unused, unexpired activation reports remain available across a later change to Buying Intel or Buying Intel Pro while the account maintains an active eligible BOtag subscription.

Buying Intel and Buying Intel Pro included allowances. Included Full Seasonal Buying Intelligence reports are pooled across each paid three-month period rather than treated as a hard monthly cap. Unused included reports expire at the end of the applicable paid three-month period and do not roll over.

Purchased additional reports. Each separately purchased additional Full Seasonal Buying Intelligence report is valid for 12 months from purchase and remains available across BOtag Flow, Buying Intel, and Buying Intel Pro plan changes while the BOstageR account maintains an active eligible BOtag subscription and the report's original validity has not expired.

Additional-report charging and acceptance. Additional report capacity is charged only where the Customer purchases, approves, or otherwise accepts the additional capacity through an applicable checkout, Billing setting, order form, account action, or separate agreement. Publication of an additional-report price does not by itself authorise an automatic charge.

Consumption priority. Where more than one eligible report entitlement is available, BOstages consumes the eligible entitlement with the earliest expiry first.

Started-report protection. A valid report started while an eligible entitlement is available remains protected through its approved report lifecycle even if the originating entitlement or paid billing period later expires, but only while the BOstageR account maintains an active eligible BOtag subscription. Normal entitlement expiry controls whether a new report may be started; it does not terminate genuine report work already in progress while the subscription remains active eligible.

Subscription termination or suspension. When the applicable subscription terminates, expires, or is suspended, the BOstageR account is not active eligible and cannot start or continue Buying Intelligence report work while that condition remains. Normal entitlement expiry while the subscription remains active is distinct from subscription termination or suspension.

Reactivation after a subscription lapse. When an active eligible BOtag subscription is later restored, unexpired purchased reports, unexpired BOtag Flow activation reports, and unexpired post-use optional-deliverable access become available again, provided their original expiry has not passed. The lapse does not extend or reset any original expiry date. An incomplete started report that was not cancelled or closed may resume under the same report scope after reactivation without a new entitlement or commercial start.

Abandoned or stale reports. A genuine commercial start reserves the report entitlement. Abandonment does not automatically restore that entitlement. BOtag may close stale reports through a controlled review process.

Pre-Recommendation restoration. Where a report is cancelled before delivery of the Full Seasonal Buying Recommendation, BOtag may restore the entitlement where BOtag determines that an approved exception applies. Restoration is not automatic or guaranteed. Any restored entitlement retains its original expiry date.

After Recommendation delivery. Once the Full Seasonal Buying Recommendation has been delivered, cancellation or abandonment does not restore the entitlement. If the report is later closed incomplete before successful Commercial Outcome Estimate delivery, the entitlement remains non-restored and no report used date is set.

Open-report review. When a report remains open for 30 calendar days with included lifecycle stages incomplete, the Customer may keep the report open or cancel it. BOtag may request the Customer's election. Silence does not cancel the report. Keeping the report open retains the same report reservation and schedules another review 30 calendar days later. The review does not create a new entitlement or extend any original validity period.

Report used status. A Full Seasonal Buying Intelligence report reaches used status only when BOstages confirms successful delivery of the Commercial Outcome Estimate. The report used date is the date and time of that confirmed successful delivery. Outstanding Material Quality Assessment or Supplier Brief deliverables do not prevent the report from reaching used status.

Closed incomplete before Commercial Outcome Estimate. If a report is cancelled, abandoned, or otherwise closed incomplete before successful Commercial Outcome Estimate delivery, it does not receive a report used date. Its entitlement may nevertheless remain consumed in accordance with the cancellation and restoration rules above.

Post-use optional deliverables. If Material Quality Assessment or Supplier Brief remains undelivered when the report reaches used status, the outstanding optional deliverable remains available for 12 months from the report used date, subject to the BOstageR account maintaining an active eligible BOtag subscription. Requesting it later consumes no additional report entitlement, does not reopen the report, does not change the report used date, and does not extend the optional-access expiry.

Product boundary. Full Seasonal Buying Intelligence report allowances do not automatically include future Sales Intelligence, Marketing Intelligence, or other separately developed intelligence products unless the applicable accepted commercial terms expressly state otherwise.

Plan changes. Upgrade or downgrade timing, proration, credits, and treatment of the current paid-period included allowance are governed by the applicable plan-change terms presented to and accepted by the Customer or by a separate written agreement. These Terms do not create an automatic entitlement to proration or credit.

If a subscription renewal payment fails or remains unpaid, BOtag may notify the Customer. If the amount remains unpaid 14 days after written reminder, BOtag may suspend access until payment is received.

Late payment interest and collection costs may apply according to applicable Norwegian law where relevant.

BOtag may adjust subscription fees annually on 1 January in line with the Norwegian consumer price index or a similar relevant index.

If BOtag offers a free trial, pilot, or promotional period, the applicable duration, limitations, cancellation options, conversion terms, and any Buying Intelligence eligibility will be shown in the subscription checkout, Billing page, service description, or separate written agreement.

BOtag may otherwise change pricing, packaging, or usage limits with at least 60 days' notice. Price changes apply from the next renewal period unless otherwise agreed.

7. Subscription term and termination

BOtag Flow, Buying Intel, and Buying Intel Pro subscriptions run for paid three-month periods unless a later approved commercial offering or separate written agreement expressly states otherwise. Other Services run for the subscription period stated in the applicable checkout, Billing page, order form, or separate written agreement; if no period is stated, the subscription period is quarterly.

Subscriptions renew automatically for the same subscription period unless terminated before renewal.

The Customer may terminate a subscription before renewal by using the "Cancel a subscription" button on the Billing page, where available, or by contacting support@botag.no before the renewal date.

Cancellation requests received after a renewal has been processed apply to the next renewal period unless BOtag agrees otherwise or applicable law requires otherwise.

Termination takes effect at the end of the then-current subscription period. Termination prevents renewal but does not entitle the Customer to a refund for the remaining paid period unless required by law or agreed in writing.

For standard BOtag Flow, Buying Intel, and Buying Intel Pro subscriptions, termination takes effect at the end of the current paid three-month period.

A subscription scheduled for cancellation remains active until its effective paid-through termination date unless it is otherwise suspended. Buying Intelligence report continuation, report reactivation, and entitlement validity are governed by Section 6.

If a renewal payment fails, access to paid Services may be suspended or downgraded according to Section 6.

Any unpaid amounts for approved manual subscriptions, separate written agreements, onboarding, startup, project work, integrations, import assistance, custom work, chargebacks, or other agreed paid services remain payable after termination.

BOtag may suspend or restrict access to the Services immediately if BOtag reasonably believes that the Customer's breach creates security risk, legal risk, operational risk, platform risk, cross-tenant risk, payment abuse risk, violates Section 12, involves unlawful use, attempts unauthorised access, uploads harmful content, or is not reasonably capable of cure.

For other material breaches, BOtag may suspend or terminate the affected Services if the Customer does not cure the breach within 7 business days after written notice.

BOtag may terminate the Services immediately where continued provision of the Services would expose BOtag, the Services, other customers, or third parties to material legal, security, operational, or platform risk.

After termination, Customer Data and Customer Personal Data are handled according to the Data Processing Agreement, Privacy Policy, and applicable retention rules.

8. Availability, maintenance, and support

BOtag will use commercially reasonable efforts to maintain the availability and reliable operation of the production parts of BOstages under BOtag's reasonable control.

Unless expressly agreed in a separate written agreement, BOtag does not provide a contractual uptime guarantee, service-level agreement, service credit, or guaranteed response or resolution time.

The Services may be unavailable or affected by scheduled maintenance, emergency maintenance, beta or preview features, Customer-side issues, third-party services, Customer-authorised integrations, internet or cloud incidents outside BOtag's reasonable control, force majeure, security measures, legal requirements, failed renewal payments, chargebacks, unpaid agreed services, payment disputes, or suspensions permitted under these Terms.

BOtag may perform maintenance, updates, patches, security changes, and service improvements. BOtag will provide reasonable notice where practical for maintenance expected to materially affect production availability. Emergency maintenance may be performed without prior notice.

Any specific uptime commitment, service level, support level, response time, or service-credit arrangement applies only where expressly stated in a separate written agreement or applicable service-level agreement.

Support is available through support@botag.no, in-app support where available, and NanaBO where available.

Standard human support is provided during normal Norwegian business hours (09:00--16:00 CET/CEST), Monday to Friday, excluding Norwegian public holidays, unless otherwise agreed in a separate written agreement.

9. Customer Data, PIMP, and outputs

The Customer owns Customer Data.

Customer Data may include uploaded files, product masters, order files, EAN/barcode sheets, PDFs, POS payloads, integration data, BOimages, NanaBO messages, PIMP mappings, validation reports, audit logs, generated files, and exports.

The Customer grants BOtag the rights needed to host, process, store, copy, transform, validate, analyse, generate outputs from, export, secure, support, and operate Customer Data for the purpose of providing the Services.

BOtag does not modify original uploaded source files as part of normal PIMP processing. BOtag may create normalized BOstages workspace data, mappings, validation reports, audit logs, generated files, exports, and other outputs based on those source files.

The Customer is responsible for reviewing and approving outputs before importing, exporting, publishing, syncing, or otherwise using them.

BOtag is not responsible for errors, failed imports, incorrect exports, missing data, duplicate data, product-data errors, barcode errors, price errors, image errors, or integration issues caused by Customer Data, source files, third-party systems, or Customer instructions, unless caused by BOtag's proven breach of these Terms.

BOtag may reject, quarantine, delete, or restrict files or data that are unsafe, illegal, corrupted, harmful, suspicious, or likely to create security, legal, operational, or platform risk.

10. NanaBO, Buying Intelligence and AI-assisted features

BOstages may provide analytical, recommendation, forecasting, review, and AI-assisted capabilities, including NanaBO, Buying Intelligence, buying recommendations, post-order reviews, forecasts, Commercial Outcome Estimates, product-data analysis, mapping support, validation explanations, summaries, and related operational outputs.

Such outputs may be produced using Customer Data, historical data, rules, statistical methods, analytical models, artificial intelligence, third-party services, assumptions, or combinations of these methods.

For entitlement purposes, a Full Seasonal Buying Intelligence report is treated as one continuing buying engagement rather than as a series of individual NanaBO interactions or individual analytical outputs. Follow-up questions and reasonable revisions within the same main Label Brand, season, and buying scope do not by themselves create or consume additional report entitlements. The applicable entitlement, continuation, validity, cancellation, and used-status rules are set out in Section 6.

Buying Intelligence, recommendations, forecasts, Commercial Outcome Estimates, NanaBO responses, and other analytical or AI-assisted outputs are decision-support tools. They do not constitute promises or guarantees of future commercial performance.

Actual results may differ from recommendations, forecasts, estimates, rankings, benchmarks, or other outputs because of factors including Customer decisions, demand, market conditions, stock availability, pricing, supplier performance, third-party data, external events, and changes occurring after an output is generated.

Analytical and AI-assisted outputs may be incomplete, inaccurate, outdated, or unsuitable for a specific purpose. The Customer is responsible for reviewing outputs and applying its own business judgment before relying on or acting on them.

BOtag does not guarantee any particular level of sales, turnover, revenue, net profit, gross margin, sell-through, stock availability, reorder performance, markdown reduction, commercial return, or other business outcome as a result of using Buying Intelligence, NanaBO, or other BOstages outputs.

The Customer must not use NanaBO or AI-assisted features as a substitute for professional legal, medical, tax, accounting, regulated financial, HR, employment, safety-critical, regulated, or other high-risk advice or decision-making.

BOtag may log NanaBO interactions for support, security, auditability, troubleshooting, service operation, and service improvement according to the Privacy Policy and Data Processing Agreement.

Where available, Customers may disable NanaBO or specific AI-assisted features.

BOtag does not use Customer content to train public AI models unless expressly agreed in writing.

11. Integrations and third-party services

BOstages may connect with third-party systems such as POS, commerce, payment, accounting, analytics, logistics, AI, retail, and other operational platforms.

The Customer is responsible for authorising integrations, maintaining credentials, reviewing synced data, and complying with third-party terms.

BOtag is not responsible for outages, API changes, pricing changes, rate limits, authentication failures, third-party data errors, third-party security incidents, or losses caused by third-party services outside BOtag's reasonable control.

BOtag may modify, suspend, replace, or discontinue an integration if a third-party API, provider, legal requirement, security issue, technical limitation, or operational risk makes continued support impractical, unsafe, unlawful, or commercially unreasonable.

Connector and export limitations affect connector output only. They do not automatically change BOtag's internal product-data model or original source records.

12. Acceptable use

The Customer must not:

  • use the Services unlawfully;
  • attempt unauthorised or cross-tenant access;
  • interfere with or disrupt the Services;
  • upload malware, harmful code, illegal content, or unsafe files;
  • conduct security testing, scraping, stress testing, or automated abuse without written approval;
  • reverse engineer or attempt to extract source code, except where mandatory law permits;
  • circumvent access controls, billing controls, usage limits, or security controls;
  • resell or sublicense access without approval;
  • infringe third-party rights;
  • upload data the Customer has no right to use;
  • upload unnecessary sensitive personal data;
  • use NanaBO or AI features to generate unlawful, harmful, infringing, or high-risk content.

BOtag may immediately suspend or restrict access if BOtag reasonably believes this section has been violated.

13. Sensitive data

BOstages is not designed for unnecessary sensitive personal data.

The Customer must not upload special-category personal data, national identity numbers, payment-card data, health data, criminal offence data, children's data, biometric data, private HR records, patient data, citizen data, healthcare data, school data, or similar high-risk data unless expressly agreed in writing and legally permitted.

If such data is uploaded without approval, BOtag may delete, quarantine, restrict, or return it where reasonably necessary.

14. Data protection

Personal data processing is governed by the BOstages Privacy Policy and, where BOtag processes Customer Personal Data on behalf of the Customer, the BOstages Data Processing Agreement.

If these Terms conflict with the Data Processing Agreement, the Data Processing Agreement controls only for personal-data processing matters.

15. Intellectual property

BOtag owns BOstages and all BOtag software, source code, platform architecture, workflows, UI, documentation, APIs, PIMP logic, NanaBO setup, worker logic, templates, schemas, methods, know-how, service improvements, and related intellectual property.

The Customer receives a limited, non-exclusive, non-transferable right to use the Services during the subscription period according to these Terms and any applicable separate written agreement.

The Customer owns Customer Data and Customer-owned outputs generated from Customer Data, subject to BOtag's rights in the underlying platform, software, templates, logic, and service components.

The Customer must not copy, modify, distribute, reverse engineer, sublicense, resell, or create competing services from BOtag intellectual property except as expressly allowed in writing or by mandatory law.

BOtag may use aggregated or anonymised data for analytics, reporting, benchmarking, service improvement, product development, security, and operational planning, provided it does not identify the Customer, users, or individuals.

BOtag may use the Customer's name or logo in marketing only with the Customer's permission.

16. Confidentiality

Each Party shall protect the other Party's confidential information.

Confidential information includes source code, security information, pricing, commercial terms, business plans, customer files, product data, order data, integration data, technical data, platform architecture, non-public documentation, trade secrets, support communication, personal data, audit logs, and business data.

Confidentiality obligations survive for 3 years after termination. Trade secrets remain protected for as long as they remain trade secrets under applicable law.

Confidentiality does not apply to information that is public without breach, already known without restriction, independently developed without use of confidential information, or lawfully received from a third party without confidentiality restriction.

17. Warranties and disclaimers

Except as expressly stated in these Terms or a separate written agreement, the Services are provided "as is" and "as available."

BOtag does not warrant that the Services will be uninterrupted, error-free, defect-free, compatible with every third-party system, or suitable for every Customer purpose.

BOtag does not warrant that PIMP, NanaBO, Buying Intelligence, AI-assisted, import, mapping, validation, export, recommendation, forecast, review, ranking, reorder, Commercial Outcome Estimate, or other analytical outputs will always be complete, correct, current, accurate, or suitable.

Recommendations, forecasts, Commercial Outcome Estimates, benchmarks, rankings, and similar outputs are estimates or decision-support outputs based on the information, assumptions, models, rules, and data available when they are generated. They are not guarantees of future performance.

The Customer is responsible for determining whether the Services and outputs are suitable for its business, data, integrations, commercial decisions, and operational needs, and for reviewing outputs before relying on or acting on them.

18. Limitation of liability

To the maximum extent permitted by applicable law, BOtag shall not be liable for indirect, consequential, special, incidental, punitive, or similar losses, including loss of profit, revenue, business, goodwill, anticipated savings, opportunity, reputation, business interruption, data reconstruction costs, third-party claims, or losses caused by Customer Data, Customer instructions, third-party services, Customer integrations, or Customer failure to review outputs.

BOtag's total aggregate liability arising out of or relating to the Services shall not exceed the fees paid by the Customer to BOtag for the Services giving rise to the claim during the 12 months immediately before the event giving rise to the claim. If the relevant fees cannot reasonably be separated, the cap applies to the subscription fees paid by the Customer during that period.

Nothing in these Terms limits or excludes liability that cannot be limited under applicable law, the Customer's payment obligations, or liability arising from BOtag's gross negligence (grov uaktsomhet) or wilful misconduct (forsett).

19. Customer indemnity

The Customer shall defend, indemnify, and hold BOtag harmless from claims, losses, damages, regulatory penalties to the extent legally indemnifiable, costs, and expenses arising from Customer Data, unlawful use of the Services, breach of these Terms, breach of third-party rights, unauthorised use of product data or images, connected third-party systems, Customer instructions, or Customer failure to review outputs before use.

This does not apply to the extent the claim is caused by BOtag's proven breach of these Terms.

20. Force majeure

Neither Party is liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, government action, legal restrictions, internet failures, power failures, cloud provider incidents, third-party service failures, cyberattacks, pandemics, supply-chain issues, or similar events.

21. Changes

BOtag may improve, modify, replace, update, suspend, or discontinue features, workflows, integrations, UI elements, APIs, or technical components, provided this does not materially reduce the core paid functionality of the affected Services.

BOtag may update these Terms from time to time. BOtag will provide at least 30 days' notice for material changes unless changes are required sooner for legal, security, operational, or compliance reasons.

Continued use after updated Terms take effect constitutes acceptance.

If a material change negatively affects the Customer, the Customer may terminate the affected Services before the change takes effect. Termination prevents renewal but does not entitle the Customer to a refund for the current paid period unless required by law or agreed in writing.

22. Subcontractors and providers

BOtag may use subcontractors, service providers, and subprocessors to provide the Services.

Personal data processing by subprocessors is governed by the Data Processing Agreement.

BOtag may change subcontractors and providers where this does not materially reduce the Services, subject to the DPA where Customer Personal Data is processed.

23. Notices

BOtag may send notices by email, in-app message, account notification, website notice, invoice message, or another reasonable method.

Formal notices to BOtag under these Terms must be sent to support@botag.no unless a separate written agreement specifies another notice address.

The Customer is responsible for keeping its administrative, billing, legal, and security contact details updated.

24. General terms

The Parties are independent contractors.

The Customer may not assign the agreement without BOtag's prior written approval. BOtag may assign the agreement to an affiliate, successor, acquirer, or entity involved in a merger, restructuring, sale of assets, or similar transaction.

If any provision is invalid or unenforceable, the remaining provisions remain in effect.

A Party's failure to enforce a provision is not a waiver.

These Terms and the documents forming the agreement constitute the entire agreement for the Services covered.

25. Electronic acceptance and signatures

These Terms may be accepted electronically.

Separate written agreements, DPAs, and related documents may be signed electronically, including through Adobe Sign, DocuSign, clickwrap, or another electronic signature method accepted by BOtag.

Electronic acceptance and electronic signatures are intended to have the same binding effect as handwritten signatures to the extent permitted by applicable law.

26. Governing law and dispute resolution

These Terms are governed by, and construed in accordance with, Norwegian law.

The Parties shall first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms through amicable, good-faith negotiations.

If a dispute is not resolved within 30 days after one Party has notified the other Party of the dispute, the dispute shall be subject to the ordinary courts of Norway, with the Oslo District Court (Oslo tingrett) as the agreed legal venue (avtalt verneting), to the extent permitted by mandatory law.

Notwithstanding the paragraph above, the Parties may at any time mutually agree in writing to resolve a specific dispute through private arbitration in Oslo, Norway. Unless otherwise agreed, the arbitration language shall be English.

Either Party may seek temporary, injunctive, or urgent relief from any competent court where necessary to protect confidential information, intellectual property, security, systems, data, or payment rights.

BOtag may pursue undisputed unpaid amounts, chargebacks, approved manual charges, onboarding fees, project fees, integration fees, custom-work fees, or other agreed payment claims through ordinary collection procedures, enforcement procedures, or competent courts.

27. Short summary

BOtag may provide a short, non-binding summary of these Terms for convenience. If a summary conflicts with these Terms, these Terms control.
